1. Introduction

Welcome to Ainalyn, an AI Solution Platform and Marketplace operated under the brand CoreNovus ("we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Ainalyn platform, including our website, applications, SDK, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. Definitions

• "Platform" refers to the Ainalyn AI Solution Platform and Marketplace.
• "User" refers to any individual or entity that accesses or uses the Service.
• "Developer" refers to users who create, publish, and distribute AI solutions on the Platform.
• "Consumer" refers to users who subscribe to and use AI solutions available on the Platform.
• "Solution" refers to AI-powered applications, workflows, or functional units available on the Platform.
• "Paddle" refers to Paddle.com Market Limited, the Merchant of Record that processes payments on behalf of the Service.

3. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement. If the laws of your jurisdiction set a different minimum age for using online services, you must comply with those local requirements.

4. Account Registration

To use certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

5. Use of Service

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable law or regulation.
• To transmit any harmful, offensive, or illegal content.
• To impersonate any person or entity.
• To interfere with or disrupt the Service or servers.
• To attempt to gain unauthorized access to any part of the Service.

5.2 Developer Responsibilities

If you are a Developer, you additionally agree to:

• Ensure your Solutions comply with all applicable laws and our guidelines.
• Provide accurate descriptions of your Solutions.
• Not include malicious code, viruses, or harmful components in your Solutions.
• Respect intellectual property rights of others.
• Provide reasonable support for your Solutions.

6. Subscription, Payments, and Billing

6.1 Free and Subscription Tiers

The Ainalyn desktop application can be downloaded and used by anyone for free with local-only features. To access API features and execute marketplace Solutions, a paid subscription is required. Subscribers receive an API key that enables cloud-based features and full access to all Solutions published on the marketplace.

By subscribing, you agree to:

• Pay all fees associated with your subscription plan.
• Provide valid payment information.
• Authorize the payment processor to charge your payment method on a recurring basis.

6.2 Merchant of Record

All payments for the Service are processed by Paddle.com Market Limited, which acts as the Merchant of Record (MoR) for all transactions. Paddle is responsible for collecting payments, processing refunds (if applicable), and handling billing-related inquiries. When you make a purchase, you are entering into a transaction with Paddle, and their terms of service will also apply.

6.3 Pricing

Our subscription is priced at $20 USD per month, billed monthly.

6.4 Free Trial

We offer a 7-day free trial for new users. During the trial period, you will have full access to all subscription features including API access and marketplace Solutions. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription, and you will be charged according to your selected plan.

6.5 Billing

Subscription fees are billed in advance on a monthly or annual basis depending on your chosen plan. You may cancel your subscription at any time, but please note that all sales are final and no refunds will be provided. See our Refund Policy for more details.

7. Intellectual Property

7.1 Platform Content

The Service and its original content (excluding content provided by users), features, and functionality are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 User Content

You retain ownership of any content you submit, post, or display on or through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content in connection with the Service.

8. Developer Revenue Share

Developers who publish Solutions on the Platform may earn revenue based on usage of their Solutions. Revenue share is calculated as follows:

• Net profit calculation: Total subscription revenue minus platform operating costs.
• Revenue pool: 30% of net profits is allocated to the developer revenue pool.
• Distribution: The revenue pool is distributed to Developers based on each Solution's sub-task usage count and compute resources consumed.

Additional terms:

• Payments to Developers are processed in accordance with Paddle's payout and settlement schedule.
• Developers are responsible for any taxes applicable to their earnings.
• Detailed usage analytics and earnings information are available in the Developer Console.

9. Early Access and Beta Features

• Features and functionality are still under active development and may be incomplete, changed, or discontinued at any time without prior notice.
• The Service may contain bugs, errors, or unexpected behavior.
• Service availability, performance, and features are subject to change as we continue to improve the platform.
• Some announced features may not yet be available or may work differently than described.
• We appreciate your feedback and patience as we work to improve the Service.

We are committed to transparency and will clearly communicate any significant changes to the Service. Your continued use of the Service constitutes acceptance of these conditions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Solutions provided by third-party Developers are not created, endorsed, or guaranteed by us. We are not responsible for the quality, accuracy, or reliability of third-party Solutions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Taiwan as the court of first instance.
